Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RePricer service ("Service") operated by RePricer ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, connecting your Amazon Seller account, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. You also agree to our Privacy Policy and Data Protection & Acceptable Use Policy.

2. Eligibility

You must meet the following criteria to use the Service:

  • You must be at least 18 years old.
  • You must have an active Amazon Seller Central account.
  • You must have the authority to authorize third-party applications on your Amazon account.
  • You must comply with all applicable Amazon policies, including the Amazon Services Business Solutions Agreement.

3. Description of Service

RePricer provides the following capabilities through integration with the Amazon Selling Partner API (SP-API):

  • Syncing your Amazon product catalog and current pricing.
  • Bulk editing of product prices across one or more marketplaces.
  • Automated repricing rules based on competition, margins, and custom criteria.
  • Pricing analytics and performance reporting.
  • Notifications about pricing events and rule triggers.

The Service acts on your behalf to read and update pricing information through Amazon's official APIs. We do not guarantee any specific sales or revenue results from using the Service.

4. Amazon Authorization

To use the Service, you must authorize RePricer through Amazon's official OAuth 2.0 authorization flow. By doing so:

  • You grant us permission to access your seller data (catalog, pricing, offers) via the SP-API.
  • You grant us permission to submit price updates to Amazon on your behalf.
  • You acknowledge that you may revoke this authorization at any time through Amazon Seller Central, which will stop the Service from accessing your account.
  • You remain solely responsible for all pricing decisions and changes made through the Service.

5. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You must not share your account with unauthorized individuals.
  • You must promptly notify us of any unauthorized use of your account.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete information during registration.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any Amazon policies, laws, or regulations.
  • Attempt to access data belonging to other users or sellers.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers) to interact with the Service outside of its intended use.
  • Resell, sublicense, or redistribute access to the Service without written permission.
  • Use the Service for any fraudulent, deceptive, or illegal activity.
  • Manipulate prices in a manner that violates Amazon's pricing fairness policies.

7. Pricing & Billing

Details of our pricing plans, payment terms, and billing cycles are available on request or at the time of subscription. Free trial periods, if offered, will be clearly communicated. We reserve the right to modify pricing with at least 30 days' notice.

8. Intellectual Property

The Service, including its design, code, features, documentation, and trademarks, is the intellectual property of RePricer and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service.

You retain ownership of all data you provide or generate through the Service (your product catalog, pricing data, etc.).

9. Third-Party Services

The Service integrates with Amazon's Selling Partner API. Your use of Amazon's services is governed by Amazon's own terms and policies. We are not responsible for any changes Amazon may make to their APIs, policies, or services that may affect the functionality of our Service.

10. Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
  • We do not guarantee that pricing changes will result in increased sales, Buy Box wins, or revenue improvements.
  • We are not responsible for errors in pricing that result from incorrect rule configurations by the user.
  • We are not responsible for any actions taken by Amazon regarding your seller account.

11. Limitation of Liability

To the maximum extent permitted by law, RePricer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data.
  • Business interruption.
  • Losses arising from pricing errors (whether caused by rule misconfiguration or system issues).
  • Losses arising from Amazon suspending or terminating your seller account.

Our total aggregate liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RePricer, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any Amazon policies.
  • Your violation of any applicable laws or regulations.

13. Termination

  • By You: You may terminate your account at any time by contacting us at support@amzndev.com or through the account settings. Upon termination, we will delete your data in accordance with our data retention policy.
  • By Us: We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or if required by Amazon or applicable law. We will provide reasonable notice when possible.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration.

15. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Data Protection & Acceptable Use Policy, constitute the entire agreement between you and RePricer regarding the Service.
